APHYRA Terms of Service

Welcome to APHYRA. The terms “APHYRA”, “we”, “us”, and “our” refer to APHYRA, a Wyoming limited liability company. APHYRA operates this online store and website (the “Services”), including all related content, features, tools, products, and services, to provide you with a curated shopping experience. These Services are powered by Shopify Inc. (“Shopify”).

These Terms of Service (“Terms”), together with our Disclaimer, Privacy Policy and Refund Policy (collectively, the “Agreement”), govern your access to and use of the Services. By accessing, browsing, or using the Services, placing an order, or creating an account, you acknowledge that you have read, understood, and agree to be bound by the Agreement. If you do not agree, do not use the Services.

Account and Access

You represent that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter this Agreement. You consent to our collection and use of your information as described in our Privacy Policy.

To use certain Services, you must create an account with accurate, current, and complete information, including your name, email, billing, shipping, and payment details. You are solely responsible for maintaining the confidentiality of your account credentials, all account activity, and any orders placed. Notify us immediately of any unauthorized use. You may not transfer, sell, or assign your account. We reserve the right to suspend or terminate accounts for violations of these Terms.

Products and Orders

Product images, descriptions, colors, and details are for illustrative purposes only and may vary due to device settings, lighting, or manufacturing tolerances. We do not warrant that products will match depictions exactly or meet your expectations. All product information is subject to change without notice, and we reserve the right to discontinue products, limit quantities, or restrict sales by region or person at our discretion.

Orders constitute an offer to purchase. We may accept, reject, cancel, or modify orders for any reason, including pricing errors, inventory shortages, fraud suspicion, or compliance issues. Acceptance occurs upon order confirmation and payment processing. Review orders carefully, as we cannot guarantee cancellations post-acceptance. Purchases are for personal, non-commercial use only—not for resale or export. Returns are governed solely by our Refund Policy.

**Pre-Order Purchases** Pre-order items typically require a minimum (but not limited to) 8-12 weeks for custom production and fulfillment from purchase date. Exact shipping dates cannot be guaranteed at checkout—this extended timeline is offset by pre-order discount pricing. 

**Key Pre-Order Terms:** 

• Orders process first-in-first-out by purchase date
• Payment collected in full at checkout
• Production and shipping updates delivered via email
•  Cancellation permitted within 7 days (email info@feelaphyra.com, unshipped orders only)
• No refunds post-shipment per standard return policy 
• Supply chain delays excused under force majeure 

By purchasing pre-order items and checking the required agreement checkbox, customers accept these extended fulfillment terms.

Pricing, Billing, and Payment

All prices are in USD, exclude taxes, shipping, handling, duties, or import fees (your responsibility), and are subject to change without notice. The price at order placement applies, as confirmed in your email. Promotions have separate terms that supersede these Terms if conflicting.

You authorize us (via Shopify or processors) to charge your payment method for orders, taxes, shipping, and related fees. Provide accurate payment information; you warrant authorization to use the method, that charges will be honored, and you will pay all amounts due. Update payment details promptly. We may refuse service or require alternative payment for suspicious transactions.

Shipping, Delivery, and Risk

Estimated delivery times are non-binding. We are not liable for delays due to carriers, customs, weather, strikes, or force majeure events. Title and risk of loss transfer to you upon handover to the carrier. Inspect packages promptly; report damage to the carrier, not us. International shipments may incur duties/taxes you must pay.

Intellectual Property

The Services, including trademarks, logos, text, images, graphics, videos, designs, and software (collectively, “Content”), are owned by APHYRA, its licensors, or affiliates and protected by U.S. and international IP laws. You receive a limited, non-exclusive, non-transferable, revocable license for personal, non-commercial use only. No other rights are granted.

Prohibited: copying, reproducing, distributing, modifying, creating derivatives, publicly displaying, or commercially exploiting Content without prior written consent. All rights not expressly granted are reserved. Shopify and third-party marks are their owners' property.

Third-Party Tools, Links, and Services

Optional third-party tools (e.g., payment gateways, analytics) are provided “as is” without warranties or liability from us. Review their terms before use. Links to third-party sites are for convenience; we do not endorse, monitor, or control them. Access at your risk; we are not liable for their content, products, or practices.

Shopify Relationship

Sales occur directly between you and APHYRA; Shopify is a platform provider only, not a seller, party to transactions, or liable for products, disputes, injuries, or claims. You release Shopify from all related liabilities. Review Shopify’s terms at shopify.com/legal/terms.

User Feedback and Content

Feedback you submit grants APHYRA a perpetual, worldwide, irrevocable, royalty-free, sublicensable license to use, modify, reproduce, distribute, and commercialize it without compensation or confidentiality. Warrant that Feedback is yours, discloses incentives, complies with laws/Agreement, and is non-infringing. We may monitor, edit, or remove Feedback at our discretion. You are solely responsible for Feedback; we assume no liability.

Prohibited Conduct

Use Services only lawfully. Prohibited: unlawful activities, IP infringement, harassment, spam, malware transmission, scraping, impersonation, or interference with Services/security. Violators may face account termination, legal action, or damages.

Errors and Inaccuracies

We reserve the right to correct errors in pricing, descriptions, promotions, availability, or other details, including canceling orders, without liability.

Termination

We may suspend/terminate access at any time without notice for violations or discretion. You remain liable for amounts due. Surviving provisions include IP, Feedback, Warranties, Liability, Indemnification, Governing Law, etc.

Warranties Disclaimer

Services and products are “as is” and “as available” without warranties, express/implied, including merchantability, fitness, non-infringement, or uninterrupted use. Reliance on information is at your risk. Some jurisdictions limit warranty disclaimers. See Disclaimer for product-specific terms.

Limitation of Liability

To the fullest extent permitted by law, APHYRA, Shopify, affiliates, officers, employees, etc., shall not be liable for indirect, incidental, consequential, punitive, or special damages (e.g., lost profits, data loss) arising from Services/products, even if advised. Direct liability capped at purchase price. Some jurisdictions limit this.

Indemnification

You indemnify APHYRA, Shopify, affiliates, etc., against claims/losses from your breach, violations, or misuse. We control defense/settlement; you cooperate.

Governing Law and Dispute Resolution

Governed by Wyoming law (excluding conflicts), subject to mandatory Florida/U.S. consumer/cosmetic laws where applicable. Disputes in Wyoming state/federal courts; you consent to jurisdiction/venue. No class actions; prevailing party recovers fees.

Mobile Terms of Service

The APHYRA mobile message service (the "Service") is operated by APHYRA (“APHYRA”, “we”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

By consenting to APHYRA’s SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of APHYRA through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).

You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with APHYRA. Your participation in this program is completely voluntary.

We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.

You may opt-out of the Service at any time. Text the single keyword command STOP to +18776646696 or click the unsubscribe link (where available) in any text message to cancel. You'll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other APHYRA mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms.

We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.

The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.

Miscellaneous

Severability: Invalid provisions enforced maximally; rest remain.
Waiver: No waiver unless written.
Entire Agreement: Supersedes priors.
Assignment: Non-assignable by you; we may assign.
Force Majeure: Excused for uncontrollable events.
Headings: For convenience.

Changes

We may update Terms; continued use constitutes acceptance. Material changes notified per law.
